1. Definitions
In these terms and conditions the following terms have the following meanings, unless explicitly stated otherwise. Contractor: modelT, freelance Data & AI Engineer. Client: the counterparty of Contractor.
2. Applicability
These terms apply to all offers, quotations, and agreements between Contractor and Client, except where the parties have explicitly agreed otherwise in writing.
3. Offers and quotations
All offers and quotations from Contractor are non-binding unless they specify a period for acceptance. A quotation lapses if it is not accepted within the stated period.
4. Performance of the agreement
Contractor will perform the agreement to the best of his insight and ability and in accordance with the requirements of professional craftsmanship. The obligation is one of best efforts, not of result, unless explicitly agreed otherwise.
5. Changes to the agreement
If during the performance of the agreement it becomes apparent that adjustments or additions are necessary for proper execution, the parties will adapt the agreement in a timely manner and by mutual consent.
6. Fees
The fee is determined either as an hourly rate or as a fixed amount agreed in advance. Travel and accommodation expenses are charged separately unless otherwise agreed. All amounts are exclusive of VAT.
7. Payment
Payment is due within fourteen (14) days of the invoice date, to an account designated by Contractor. In the event of late payment, Client is in default by operation of law and statutory commercial interest is owed.
8. Confidentiality
Both parties are obliged to maintain confidentiality of all confidential information they receive from each other or from any other source within the context of their agreement.
9. Intellectual property
Unless agreed otherwise in writing, Contractor retains all intellectual property rights to works he develops or makes available. Upon full payment, Client receives a non-exclusive right of use.
10. Liability
Contractor's liability is limited to the amount paid out under his professional liability insurance in the relevant case, plus the deductible. Liability for consequential damages is excluded.
11. Force majeure
Contractor is not bound to fulfil any obligation if he is prevented from doing so by a circumstance not attributable to his fault and that cannot, by law, by legal act, or by generally accepted standards, be charged to his account.
12. Disputes and applicable law
All legal relationships to which Contractor is a party are governed exclusively by Belgian / Dutch law. Disputes will be submitted exclusively to the competent court in the district where Contractor is established.
